Annotation. This article examines a fundamental problem in modern strategic management – the integration of ESG principles as a mechanism for creating sustainable long-term value. It explores the conflict of interests between the short-term economic goals of business (Business) and the long-term imperatives of environmental preservation (Nature) and social well-being (Society). A conceptual “Strategic Balancer Model” is proposed, in which Governance (G) acts as a central integrator, ensuring synergy between the economic, social, and environmental priorities of the company. The model enables the transformation of environmental and social challenges from sources of costs into drivers of innovation, operational efficiency, and strategic resilience. The scientific novelty of the article lies in rethinking the role of the “G” component not as one of the ESG pillars but as a proactive and strategically minded management mechanism that ensures balance among the interests of business, society, and nature. The presented results justify the transition from a fragmented and reactive approach to ESG to an integrated strategic management approach that generates long-term value and social legitimacy for the organization.
